Definitions
Novaheim AI LLC: A limited liability company based in Texas, USA, providing custom artificial intelligence (AI) services.
Client: The party entering into an agreement with Novaheim AI LLC.
Parties: Novaheim AI LLC and the Client collectively.

Applicability
These Terms of Service apply to all quotations, proposals, communications, agreements, and service deliveries by or on behalf of Novaheim AI LLC. Deviations are valid only if expressly agreed upon in writing.

Scope of Services
Novaheim AI LLC offers custom-designed AI solutions. Specific deliverables, timelines, and project scopes are defined in individual agreements with clients.

Service Timeline and Milestones
Unless otherwise agreed in writing, any project timelines or delivery dates provided are estimates and not strict deadlines. Novaheim AI LLC shall not be liable for delays beyond its reasonable control.

Payment Terms
Payment terms will be specified in the service agreement or proposal. Invoices are due within 15 days of issue unless otherwise stated. Late payments may incur a 1.5% monthly interest.

Termination of Agreement
Either party may terminate the agreement with 14 days’ written notice. Upon termination, the client agrees to pay for all work completed up to the termination date.

Intellectual Property
Unless otherwise agreed in writing, all intellectual property—including but not limited to code, documentation, datasets, and models—remains the exclusive property of Novaheim AI LLC. Clients are granted a non-transferable, non-exclusive right to use deliverables solely for internal purposes.

Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information exchanged during the project duration and for a period of three (3) years thereafter. Exceptions apply where disclosure is required by law.

Non-Solicitation
During the term of the engagement and for 12 months thereafter, the client agrees not to solicit or hire employees or contractors of Novaheim AI LLC without prior written consent.

Disclaimers
Services are provided “as-is” with no express or implied warranties. Novaheim AI LLC does not guarantee any specific outcome or performance level unless expressly stated in a written agreement.

Limitation of Liability
Novaheim AI LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use delivered services. Liability is limited to the fees paid for the services directly related to the claim.

Force Majeure
Novaheim AI LLC shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, government actions, internet outages, or labor disputes. If a force majeure event continues for more than 30 days, either party may terminate the agreement without penalty.

Governing Law
These terms are governed by the laws of the State of Texas, United States. Disputes will be subject to the jurisdiction of the courts located within Texas.

Amendments
Novaheim AI LLC reserves the right to amend these Terms of Service. Clients will be notified of material changes and may terminate the agreement if they disagree with the updated terms.
